Please read these Terms of Use (“Terms”) carefully as they contain important information about your legal rights, remedies, and obligations as a User. By accessing or using the Vehiki platform, you agree to comply with and be bound by these Terms. 

These Terms constitute the legally binding agreement (“Agreement”) between you (“User”) and Vehiki (as defined below) governing your access to and use of the Vehiki website, including any subdomain thereof and any other website(s) through which Vehiki makes its services available (collectively, “Site”), our mobile, tablet, and other device applications. The Site is therefore referred to as “Vehiki” or “Vehiki Platform” herein. 

Our Terms for Everyone (including Vendors and Paying Users): If you use any of our services, you agree to these Terms, our Privacy Policy, and our Nondiscrimination Policy.

When these Terms mention, “Vehiki”, “Vehiki.co”, “we”, “us”, or “our”, it refers to the Vehiki company you are contracting with.

Our collection and use of personal information in connection with your access and use of the Vehiki Platform is described in our Privacy Policy

All payment processing services through, or in connection with your use of, the Vehiki Platform are provided to you by one or more entities.

Vendors are solely responsible and required to identify, understand, and comply with all laws, rules, and regulations that apply to their Listing(s) within their jurisdiction of operation. For example, some countries, cities, counties, and/or states have laws that restrict the Vendor’s ability to provide paying Users of vehicle services without Vendors legally registering their business. Some countries, cities, counties, and/or states also restrict the Vendor’s ability to provide paying Users of vehicle services if the operation is not in compliance with mandated jurisdictional guidelines by providing the sale and service of vehicle products or services. Vendors may have to register and obtain a permit and/or license before providing service as a Vendor on Vehiki. Vendors are solely responsible and required to identify and obtain any required licenses, permits, or registrations for any Vendor service they offer. Certain types of services rendered by the Vendor may be prohibited altogether. Penalties may include fine(s) or citation(s) by the Vendor’s jurisdictional authority and/or the Vehiki Platform. If you have any questions about how local laws apply to your Listing(s) as a Vendor on Vehiki, you should always seek legal guidance as legal advice is not provided by Vehiki.

1. Scope of Vehiki Services

1.1     The Vehiki Platform is an online marketplace that enables registered Users (“Member”) or (“User”) which can register as a Vendor (“Vendor”) which provide a third-party service to other Vehiki Users. Vendors must post a (“Listing”) which enables the Vendor to advertise, communicate, and transact directly with Members that are seeking their product or service on the Vehiki Platform.

1.2     As the provider of the Vehiki Platform, Vehiki does not own, create, sell, resell, provide, control, manage, offer, deliver, or supply any Listings. Vendors alone are responsible for their Listings. When Members make or accept a booking or sale, they are entering into a binding contract directly with one another. Vehiki is not, and does not, become a party to (or, another participant) in any contractual relationship between Members, nor is Vehiki a broker or insurer. Vehiki is not acting as an agent in any capacity for any Member.

1.3    While Vehiki may help facilitate the agreement between two parties, Vehiki has no control nor does it guarantee (i) the existence, quality, safety, suitability, or legality of any Listing; (ii) the truth and accuracy of any Listing’s Vendor Information, Ratings, Reviews, or other Member content; or (iii) the performance or conduct of any Member or third party. Vehiki does not endorse any Member, Listing, or Listing product or service.

1.4    The Vehiki Platform will not be used to break the law. Any Member that chooses to use Vehiki to break any local, state, federal or international law will be forever banned from the Vehiki Platform. Fraud, defamation of person or another entity, theft, threatening conduct, or any other unlawful acts of crimes is strictly prohibited and will result in the deletion of the Member’s account and may involve working with property authorities, including the Member’s local law enforcement, to cease activity. 

2.1    All Members agree to only use the Vehiki Platform in a manner that is legal within their jurisdiction as provided by their jurisdictional authority and in accordance with these Terms.

2.2    All Vendors must obtain, and maintain, current and valid license(s), certificate(s), permit(s), and/or other required operational documentation while acting as a Vendor on the Vehiki Platform. If any Vendor is without a current and valid license(s), certificate(s), permit(s), and/or other required operational documentation, it is the responsibility of the Vendor to acquire or renew documentation to maintain legal compliance while using the Vehiki Platform.

2.3     The sale of illegal substances as defined by federal law in any format (i.e. within the Vendor’s product, or in raw form) is strictly prohibited and will result in the deletion of their Vendor Listing(s) and revoked Vendor privileges for misuse of the Vehiki Platform. In some cases, the Member will be prohibited access to the Vehiki Platform entirely.

3. Modification of these Terms

3.1     Vehiki reserves the right to modify these Terms at any time in accordance with this provision. If changes are made to these Terms, the “Last Updated” date will be revised to display the date of the change. 

3.2     Vehiki will maintain and make changes to these Terms as necessary and/or as required by law to maintain compliance.

3.3     If any User disagrees with these terms, the User may terminate this Agreement with immediate effect by removing themselves from the Vehiki Platform. And any User who continues access to or uses the Vehiki Platform will constitute acceptance of these Terms.

4. Account Registration

4.1     Users registering on Vehiki.co must be 18 years of age or older. And all minors under the age of 18 must be accompanied by a parent or guardian while using the Vehiki Platform. Children under 13 years are not permitted to use Vehiki or its Services. An adult/legal guardian is responsible for all account activity conducted by a minor on the User’s account.

4.2     Users may also register using their social media credentials (i.e. Twitter, Instagram, Google, Facebook, etc.) of which Vehiki will not maintain compromisable information such as its password on the Vehiki server.

4.3     Users must provide accurate information about themselves and their business. Members are prohibited from submitting false information or impersonating another business, or person, through their account.

4.4     Usernames must be tasteful and not include any language which may be offensive, defamatory, obscene, vulgar, infringes someone’s intellectual property right, or otherwise which will violate these Terms.

4.5     If, perhaps, a Vendor has a team of employees or contractors using their account, it is solely the responsibility of the account holder to protect their account and any account activity. Managing Members must protect their passwords and all financial information within the account. If you’re registering as a business entity, you guarantee that you have the authority to register the account associated with the said entity and personally guarantee that you have the authority to agree to these Terms on behalf of the business. Your accounts are not transferable.

 

5. Content

5.1     Content uploaded by any Member on the Vehiki Platform such as images, videos, text, or third party images via posted links may be used by Vehiki for advertising purposes on any platform associated with Vehiki without credit or compensation as the Member agrees to these terms. By posting your content, you grant Vehiki worldwide, royalty-free, sub-licensable, irrevocable license(s) to use, display, edit, modify, reproduce, distribute, store, and prepare derivative works of your content.

5.2     Vehiki cannot guarantee visitors of Vehiki.co, or other Users, will not use another Member’s content which may, or may not be, in direct relation to the Vehiki Platform. 

5.3     Members understand that they are solely responsible for any content uploaded and submitted. Members agree that they have all necessary rights to any content uploaded by the Member and that they are not infringing or violating any third-party rights by posting it.

6. Refunds

6.1     Refunds will be made on a case-by-case basis. The paying User will first contact the Vendor regarding their requested refund. If the Vendor cannot assist with the paying User’s request, the User is free to contact our customer support team to resolve their issue: help@box5896.temp.domains.

7. Service Fees and Payouts

7.1     Vehiki may charge fees to the Vendor (“Vendor Fees”) and/or the paying User (“Paying User Fees”) (collectively, “Service Fees”) in consideration for the use of the Vehiki Platform.

7.2     Vehiki reserves the right to change the Service Fees at any time and will provide its Members with adequate notice of any fee changes before they become effective. Such fee changes will not affect any bookings made prior to the effective date of the change.

7.3     Members are responsible for paying any Service Fees that are owed to Vehiki. Vehiki will deduct any Service Fees (including any applicable taxes) before remitting the payout to the Vendor. Any Paying User Fees are included in the total fees collected by Vehiki. Except as otherwise provided on the Vehiki Platform, Service Fees are non-refundable.

7.4     Payouts will only be made if the Vendor holds a minimum balance of $5 USD in their account. Payouts are made automatically every Tuesday and should appear in the Vendor’s account within 2-3 business days. Vendors must input their PayPal information which is in the User’s Dashboard under the “Payout” tab. The Vendor is responsible for ensuring the accuracy of their banking account numbers and routing numbers, or PayPal email, as Vehiki will not guarantee the reversal of funds if deposits were made into the incorrect account. Vehiki is not responsible for mistyped information or inaccuracies made by its Users.

8. Terms specific for Vendors

8.1     When Vendors create their Listing through the Vehiki Platform, Vendors will (i) provide complete and accurate information about their service and business (i.e. location, service hours, rightfully owned images, service options, service availability, current stock of items, weight, volume, and a la carte fees); (ii) disclose any restrictions, vendor policy, and safety information; (iii) provide all pertinent information as it pertains to daily service operations and consumer health & safety. Misleading information regarding the Vendor’s facility of operations, product(s) being sold, and information that can cause harm, and/or death, is strictly prohibited.

8.2     Vendors are solely responsible for maintaining all pertinent information regarding their Listing and operations. Vendors must update their Listings regularly to meet regulatory guidelines and prevent miscommunication with their customers. Vendor content must be tasteful and not include any language which may be offensive, defamatory, obscene, or vulgar, nor will they infringe on someone’s intellectual property right, or otherwise which will violate these Terms.

8.3     Any policy included within the Vendor’s Listing must not conflict with these Terms. These Terms trump any policies established by the Vendor.

8.4     Images and videos posted in the Vendor’s Listing must accurately reflect the quality and condition of the service provided and/or operations facility.

8.5     Vehiki recommends that Vendors obtain and secure the appropriate insurance needed to protect their service and entity.

8.6     If required, Vendors must maintain valid vehicle service, repair, and parts distribution certification(s) which are accepted by their jurisdictional authority.

8.7     Vendors must pay their monthly subscriptions on time to maintain an active Listing. Listings are valid for 30 calendar days. Expired Listing will terminate on the 31st calendar day if the Listing has not been renewed.

9. Terms specific for Paying Users

9.1     If you elect to purchase a service or product from a Vendor on the Vehiki Platform, you are required to follow the Vendor’s policy if it does not interfere with these Terms.

9.2     All applicable fees, including product costs, deposits, and Service Fees will be presented to you prior to paying for the product or service. You agree to pay the Total Fees for any product or service requested in connection with your Vehiki account.

10. Ratings and Reviews

10.1     Ratings are used to share a User’s level of satisfaction and opinions of a given product or service. Members that leave ratings will only leave ratings in honesty and will never be used to defame a business. Members found to create User accounts with the sole reason to enhance or defame a Vendor’s ratings will find their account deleted and the Vendor investigated for further recourse.

10.2     Members are prohibited from leaving a Rating or Review on a Vendor’s Listing they have not patronized via the Vehiki Platform.

10.3     Written reviews must be tasteful and not include any language which may be offensive, defamatory, obscene, or vulgar, nor will it infringe on someone’s intellectual property right, or otherwise which will violate these Terms.

11. Bylaws

11.1    We look at the Vehiki Bylaws as a quick reference sheet that quickly answers questions our Members may have on what can and cannot be done while using the Vehiki platform.

11.2     The Vehiki Bylaws are a set of standard practices our Members (including Vendors) are required to acknowledge alongside these Terms while using the Vehiki Platform. The Vehiki Bylaws will not trump these Terms whereas these Terms will always govern the way our Members will use the Vehiki Platform.

12. Account Deletion, Suspension, and Other Measures

12.1     Staying in accordance with these Terms and our Privacy Policy will keep a Member’s account in good standing. In the event a Member is in violation of these Terms or our Privacy Policy, directly or indirectly, the Member waives their right to maintain their membership on the Vehiki Platform which may result in account deletion, suspension, or another measurable admonishment. 

12.2     All accounts will remain on file after the request of deletion for approximately 90 days until retained for investigative purposes.

12.3     Each Member is free to reach out to ensure their account has been properly removed from the Vehiki Platform after 90 days, or after internal or external authorities have completed their investigation.

12.4     Any Member whose account is under internal or external investigation (by way of law enforcement, jurisdictional authority, etc.) may not be privy to such information. All accounts under investigation may be seized by the Vehiki administration in cooperation with investigative purposes. Once the member’s account investigation has reached a conclusion by internal or external investigative forces, the account may be relinquished to the authorized User for successful deletion.

13. Warranties and Limitation of Liability

13.1     All Members/Users understand that Vehiki does not own, operate, manufacture, store, inspect, or distribute any of the items or services sold by the Vendors on the Vehiki Platform. Vehiki is a marketplace that facilitates the exchange of compensated service by the Vendor to another Member/User seeking the Vendor’s product or service. All goods and services are sold by individuals (or, their entities) and Vehiki does not make any guarantees about their quality, safety, or even their status to operate lawfully. All legal claims related to a good(s) and/or service(s) purchased must be brought directly against the individual/entity that represents the listed Vendor. Members and visitors alike release Vehiki from any claims related to items sold by Vendors on the Vehiki Platform including, but not limited to, defective items, subpar service, false advertisement, and/or faulty parts.

14. Indemnification

14.1     In the event Vehiki was sued due to a mishap or negligence on behalf of a Vendor, the Vendor agrees to defend and indemnify Vehiki and its representation. The Vendor will defend Vehiki, including any of our employees, and hold us harmless from any legal claim or demand (including reasonable attorney’s fees) that arises from your actions, use (or misuse) of the Vehiki Platform, breach of these Terms, or your account’s infringement of another entity’s rights. 

14.2     Vehiki reserves the right to handle its legal defenses however it sees fit, even if you are indemnifying us, in which case you agree to cooperate with us so we can execute our strategy.

14.3    Members release Vehiki of any claims, demands, and damages arising out of disputes with other Members or parties.
